Job Purpose:
Externally:
- Shape
ADNOC L&S’s strategy, execution plan, reputation and key projects into
a powerful equity story in order to demonstrate to investors L&S’s
strong potential returns for shareholders
- Be
responsible for building (though IPO phase and beyond) and maintaining
ADNOC L&S’s relationships and positioning with investors, equity
analysts covering the stock and other corporate stakeholders; manage the
development, implementation and establishment of a comprehensive, strategic
investor relations program, in order to ensure strengthening of the
brand’s reputation in line with the corporate mandate
Internally:
- Advise
CFO, CEO, ADNOC DM&T Executive Director and BOD on strategic
initiatives pertaining to the share price as well as how strategic
initiatives can impact our stock price in general, brand name and
reputation
- Represent
the point of view of shareholders in Board Of Directors meetings and
extended leadership meetings
- On
behalf of the CFO and CEO, make sure that all management decisions
(investments, new ventures, business plans, new dividend policy, strategic
initiatives etc) correctly take into account shareholders expectations and
position ADNOC L&S management as credible and the company as a
sustainable value creation play
- As a
member of the L&S Investment Committee, review investment plans to
ensure alignment with business strategy and growth and returns
expectations of shareholders/investors
- Provide
feedback on company ability to fund investments without compromising
dividend payments to shareholders
Key Accountabilities:
Job Specific Accountabilities
ADNOC
L&S IPO / Private Placement
- Lead
the initiative to ensure ADNOC L&S IPO readiness by Q3 2021 (in
collaboration with VP Strategy & Excellence)
- Lead
IPO / private placement projects incl. coordination of professional
advisors (in collaboration with VP Strategy & Excellence)
Investor Engagement and Targeting - Develop,
implement and maintain a comprehensive, proactive investor relations
program in order to strategically reinforce ADNOC’s key messages among
external constituents.
- Develop
and maintain investor confidence and belief in ADNOC L&S’s vision and
strategy for delivering shareholder value by demonstrating consistent and
clear communication at all times.
- Manage
and maintain relationship with equity analysts and banks covering ADNOC
L&S stock.
- Plan
and manage the annual investor relations event calendar including General
Assembly Meeting, investor conferences and presentations, analysts
meetings and visits and shareholders meetings in order to reinforce
relationships.
- Oversee,
manage and execute the drafting and editing of press releases, conference
call scripts, earnings presentations and Q & A preparation to ensure a
flawless quarterly and year-end earnings communications process,
- Oversee
investor package documents including fact sheets, publications, financial
reports, and a centralized database of shareholders, potential investors
and analysts in order to provide a reliable reference for future use.
- Analyse
impact of key initiatives on share price and changes in shareholders’
composition. Manage equity research and study new methods to approach and
acquire new investors and maintain existing ones to strengthen the brand
of ADNOC L&S.
Financial Advisory - Advise
CFO, CEO, ADNOC DM&T Executive Director and BOD on strategic
initiatives pertaining to the share price as well as how strategic
initiatives can impact our stock price in general, brand name and
reputation.
- Serve
as a key resource to, Chief Financial Officer, Chief Executive Officer and
other senior ADNOC L&S leadership on issues involving the public
distribution of financial information and other material disclosures.
- Create
a comprehensive intelligence process to monitor, analyze and distribute
industry and competitor financial information and relevant trends to
senior management.
- Advise
the rest of senior management team on expected investment community or
rating agency reactions to facilitate strategic decisions and current
market perceptions of ADNOC L&S.
- Provide
key insights about share trading activity and changes in shareholders
composition to CEO, CFO and ADNOC DM&T Executive Director.
General Accountabilities
Business Strategy
- Participate
and contribute to the development and refinement of the vision and
long-term strategy for ADNOC L&S, and contribute to the overall
process of corporate governance, management and corporate decision making
as a key advisor to the CFO and CEO on strategic matters.
Leadership
- Provide
effective and visible leadership and integrated strategic direction to the
Chief Financial Officer and Chief Executive Officer in the areas of
Corporate Governance, Operations, People, Values, HSE, Integrity and
Reliability in order to deliver Company’s strategic objectives in line
with international standards.
Budgets and Operational Plans - Guide
the development and monitoring of Investor Relations business plans and
optimal annual budget, in line with the company objectives and work
programs to support alignment and arbitration while ensuring quality and
reality checks are in place.
- Control
expenditure against approved company budget on a regular basis and
investigate & reconcile any significant variances to ensure effective
performance and cost control.
Performance Management - Agree
with fellow leaders on the Annual Performance Management Contract in line
with Company’s long-term plans to reinforce an organization-wide drive for
performance.
Organization Structure and People Development - Recommend
and establish appropriate organisation structure for the company to fully
utilise human capital while proactively incorporating sustainability into
on-going work practices to meet business objectives.
- Lead
the development of knowledge, competencies and innovative spirit in the
company to continuously develop employees with emphasis on UAE Nationals
to meet Emiratization targets and support the establishment of Development
Plans, Succession Planning and Talent pipeline.
Innovation and Continuous Improvement - Promote
the development of a corporate culture that encourages innovation,
enhances employee motivation and supports initiatives for implementation
of Change Management to continuously improve L&S’s operations and
services.
Policies, Processes & Procedures - Guide
and ensure the development and implementation of appropriate policies,
processes, systems, standards, procedures and internal controls to support
execution of the Company work programmes, in line with ADNOC Corporate,
UAE Local & Federal laws and International standards.
Health, Safety, Environment (HSE) and Sustainability - Contribute
to the development of Company’s HSE policies and culture while overseeing
compliance with all relevant HSE, sustainability and environmental
policies, processes, procedures and controls within the unit.
Risk Management - Participate
and proactively contribute to the designing, development and establishment
of Company’s integrated Risk Management System while identifying and
assessing relevant domain risks and recommend planning, management and
control measures to mitigate the identified risks within the unit.
- Oversee
compliance of Risk Management Guidelines that are relevant to the Company
and ensure that corporate business ethics and Company’s Code of Conduct
are communicated to employees within the Unit and ensure compliance of the
Corporate Policies and guidelines within the unit.

that all Unit progress reports are prepared to provide accurate and timely
corporate reports and necessary information to Company Management, Board
of Directors, Board Advisory Committee and other shareholder
representatives to effectively manage the business.

Qualifications,
Experience, Knowledge & Skills:
Minimum
Qualification
Master’s
Degree in Finance or equivalent
Minimum
Experience & Knowledge & Skills
- Strong
leadership and advisory skills.
- Deep
knowledge and understanding of the equity capital markets.
- 10+
years of experience in Investor Relations or Capital Markets with at least
5 years in a managerial position.
- Ability
to draft engaging and impactful messages for investors.
- Strong
experience in dealing with investors with demonstrated success of creating
positive relationships with investor community.
- Strong
familiarity with financial modelling techniques and valuation methods used
by analysts and investors.
Professional

- CFA,
CPA is preferred
